Please read these Terms carefully and make sure that you fully understand all the contents.

1. OVERVIEW

These Terms of Service (“Terms”) are entered into by and between you and the BetDEX licensed entity identified Appendix 1, Country (and/or License) Specific Terms, attached and incorporated herein, (hereafter, collectively, "BetDEX"), and is made effective as of the date of your using, visiting and/or accessing any part the BetDEX Exchange by way of this website (“Site”) and/or utilizing any services accessed through the Site or any other ways made available by BetDEX (“Services”), as applicable, or the date of electronic acceptance of the Terms. Except as otherwise noted in the Country Specific Terms, these Terms are applicable to all players. In the event of any conflict between these Terms and the Country Specific Terms, the Country Specific Terms will govern and control.

For players identified in Appendix 1 as being subject to our Isle of Man License ("IOM License"), Shinty Limited, having its registered address at 49 Victoria Street Douglas, Isle of Man, operates under Online Gambling Regulation Act 2001 (“OGRA”) license, issued on 25/10/2022. Your use of the Site and / or Services is subject to the IOM License only, is governed by the laws of the Isle of Man, and gambling debts are enforceable in law in the Isle of Man.

For players identified in Appendix 1 as being subject to our Ireland License ("Irish License"), BetDEX Labs, Inc. is licensed and regulated by the Irish Revenue Commissioners under remote betting intermediary license no. 1020267. Your use of the Services is subject to the Irish License only, nd, for the avoidance of doubt, any eference in these Terms to the Isle of Man Gambling Supervision Commission (or "GSC"), to include any complaints, dispute resolution or other escalation procedures, is not applicable to you.

The terms “we”, “us” or “our” will refer to BetDEX. The terms “you”, “your”, “User” or “customer” will refer to any individual or entity who accepts this Agreement.

2. ACCEPTANCE OF THE TERMS

By accessing or utilizing the Site or any Services, you agree to be bound by (i) these Terms; (ii) our Privacy Notice and (iii) our Exchange Rules and Regulations ("Exchange Rules") applicable to specific Services (together, the ‘Agreement’). If there is a conflict between the Terms and any of the specific Exchange Rules, then the terms of the applicable Exchange Rules will prevail. 　

3. MODIFICATION OF AGREEMENT, SITE OR SERVICES

BetDEX reserves the right to change any part of the Agreement from time to time and all changes will be published on the Site. Your use of this Site or the Services after such changes or modifications have been made will constitute your acceptance of this Agreement as last revised. When a material change of the Agreement is carried out, it will be pointed out to you via email, specifically highlighting the parts which are added, removed or changed, and the effective date of these changes will be included in this notice. Your use of the Site or the Services after this date, will constitute your acceptance of this Agreement as revised. In the event that you do not wish to continue using the Services, you can close your Account at any time.

BetDEX may also, in its discretion, without any prior notice and without liability, a) modify, suspend or discontinue any portion of the Site or Services, including any Terms, and b) remove or change any content or functionality from the Site or Services.  BetDEX furthermore reserves the right to take any action related to the Site or Services as required to comply with applicable law.

4. ELIGIBILITY

Unless otherwise set forth in our Country Specific Terms, the Services may only be used by persons who have reached at least the age of 18 (older in some jurisdictions, as noted at the time of registration). By making use of the Services, you confirm that you are of applicable legal age and legally capable at the time of concluding a binding legal agreement with BetDEX. BetDEX reserves the right to ask for proof of age from any customer and suspend their account until satisfactory documentation is provided. The Services may only be used by persons who are resident in a jurisdiction where the use of the Services is not prohibited (please see our list of Prohibited Jurisdictions, attached and incorporated to these Terms as Appendix 3, for more information). Countries where the use of the Services is not permitted are not listed in the registration form for the Account. Before you make use of the Services, it is your responsibility to verify the laws on gambling which govern your place of residence and to act in accordance with any restrictions. By utilizing the Services, you warrant that you have the legal right to make use of the Services and that such use is not prohibited by any law.

5. ACCOUNT CREATE, VERIFICATION AND DUE DILIGENCE

In order to access (most) features of this Site, and/or to utilize the Services, you must first create an account (“Account”). The terms governing the restrictions, requirements and obligations for your Account are contained throughout this Agreement, but most specifically are set forth in the Account Creation and Registration Agreement, attached and incorporated as part of these Terms as Appendix 2.

You represent and warrant to BetDEX that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete, and you represent and warrant that you have all legal right and authority to enter into an account with BetDEX, which includes the lawful and legal right to the crypto wallet that is linked to you Account. If BetDEX has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, BetDEX reserves the right, in its sole and absolute discretion, to suspend or terminate your Account, and any unmatched bets will be voided. You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information and credential secure.

We reserve the right to close or limit your account if we suspect that the account is using a temporary or throwaway mail service for registration or that the email address used is an alias for a centralized mailbox. We expect all users to have access to their emails and if in doubt, we may ask users for identification via email.

You must notify BetDEX immediately of any breach of security or unauthorized use of your Account. BetDEX will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss BetDEX or others incur caused by your Account, whether caused by you, or by an authorized person, or by an unauthorized person. Should you lose your account details or believe that someone else may have your account details, please  us by sending an email to support@betdex.com.

6. ACCOUNT TERMINATION AND CLOSURE

BetDEX may at any time, with or without notice, without liability, and for any reason deny you access to the Site and Services, and terminate or suspend your Account. In any event, the Agreement will nevertheless continue to apply in respect of your use of the Site and Services prior to termination or suspension.We may suspend or terminate your use of the Services and your Account immediately without notice if:

• For any reason we decide to discontinue to provide the Services;
• We believe that you have breached any of the Agreement;
• We believe that you have acted inappropriately in any way in your use of the Services and/or the Site;
• Your account is associated in any way with any existing account that has been terminated for breach of the Agreement;
• We suspect that in using the Services, you are acting fraudulently, or are involved in collusion, money laundering activities and/or other forms of criminal activity; and
• For any other reasonable grounds we see fit.

You may close your Account at any time by sending an email to us at support@betdex.com. Closure will occur within seven (7) calendar days after receipt by BetDEX of your email, but you will remain responsible for any activity on your Account between our receipt of your email and closure of your Account by BetDEX. Once your Account is closed you must (1) discontinue the use of the Site and the Services; and (2) remove and permanently delete any software belonging to BetDEX from your computer equipment and destroy all related documentation in your possession, custody, power or control.

7. OWNERSHIP AND INTELLECTUAL PROPERTY

BetDEX grants to you a revocable, personal, limited, non-sublicensable, non-transferable, and non-exclusive license to access and use the Site, as permitted under the Agreement, subject to and conditional on your continued compliance with all terms of the Agreement. All rights, title and interest, including all intellectual property rights, in the Site, including content and BetDEX trademarks therein, are and will remain the property of BetDEX. Without limiting the generality of the foregoing, nothing contained in the Agreement, these Terms or on the Site or Services should be construed as granting, by implication, estoppel, or otherwise, any license or permission or other right to use any content or BetDEX trademark. Unauthorized use of any Site content or BetDEX trademark is strictly prohibited. Nothing in these Terms should be construed as granting any right to use the Site for a commercial or other non-personal purpose. 

8. USING THE SERVICES

You must abide by any and all Terms in making use of the Services as herein set out. By utilizing the Services, you acknowledge and agree that:

• You are only allowed to have one active Account with BetDEX; should we identify you have more than one account, in violation of these Terms and the Agreement, we reserve the right to treat any such accounts as one joint account;
• All wagers/bets are accepted at the discretion of the BetDEX
• You must not treat BetDEX as a financial institution, and you will not receive any interest from BetDEX on the funds in your self-custodial Wallet;
• It is unlawful to make use of the Services with funds which consist of the proceeds of criminal activities;
• Player collusion is expressly prohibited;
• Any applicable taxes and fees in connection with any winnings are your sole responsibility.

If you place a wager on an outcome that never occurs, your wager will automatically be refunded to you by the Smart Contract in line with the below scenarios. 

• In the event you place a bet on a match that is later postponed, the bet will stand provided the newly scheduled start time falls within 72 hours of the original start time. If the newly scheduled start time is more than 72 hours after the original start time all markets on the match will be voided with funds automatically remitted back to you.
• In the event you place a bet on a match that is later canceled, the funds are automatically remitted back to you by the smart contract.

You assume all risk, and BetDEX disclaims any responsibility or liability to you or any third party, for price fluctuations in fiat or digital currency from any interactions with BetDEX's online Site and Services. BetDEX will not bear any responsibility whatsoever for mistakes made during data inputting, transfer or assessment. BetDEX reserves the right to correct obvious mistakes, especially those made during inputting odds and/or bet results and will be entitled to invalidate such bets. BetDEX additionally disclaims any responsibility associated with correctness, exhaustiveness and relevance of information services. BetDEX also disclaims any responsibility whatsoever related to correctness of current information, statistics and intermittent results of live bets. In any case described herein above, you will be reimbursed for the amount wagered. 

You fully accept that all computer instructions and responses sent to you from BetDEX’s online Site and Services will be binding on you. You undertake to promptly notify BetDEX in writing of any error or incompleteness in BetDEX’s Site or Services. BetDEX will be entitled to hold you liable for any damages incurred if you deliberately or fraudulently use any technical or administrative malfunction or error to place any winning bet. Notwithstanding any other provisions of the Agreement respecting liability, BetDEX will not be liable for any claims for damages/ reimbursement (in particular, claims related to system errors, defects, delays, manipulations or wrongful transfer of data), unless such claims regard gross negligence, and, in any event, BetDEX’s liability in such case will be strictly limited to the lesser of bet or winnings amount.

 9.  FUNDS FOR USE OF THE SERVICES; CRYPTO WALLETS; WAGER THRESHOLDS

BetDEX does not hold any funds on behalf of you or its players. The Services are non-custodial. Any funds deployed by you are administered by smart contract logic on the blockchain (“Smart Contract”). Once signed and validated, transactions on blockchain are final and irrevocable. You must link your crypto wallet (“Wallet”) to your Account in order to make use of the Services.

All funds will remain with you in your own Wallet. When you place a wager, your funds will live in the Smart Contract. Funds will be settled/remitted based on the event outcome as determined by the Smart Contract. All wagers will be paid out immediately upon match settlement. Note that your control over the Wallet may be verified prior to accessing any Services in accordance with Section 10 below. We monitor gaming activity by our users on the BetDEX Exchange on an Account level in real-time, we will set up automated alerts if any wager is abnormally large compared with your prior betting activity. You may be blocked from placing a wager in the event it would put you over certain regulatory dollar thresholds that require additional and full identity verification and documentation checks.

Additionally, maximum transaction lifetime thresholds and anti-money laundering triggers are in place to ensure BetDEX remains operationally compliant, and that any suspicious behaviors are identified and managed within a real-time environment.   

Minimum and maximum wager amounts will be established, communicated and enforced on the Site and/or within the Services.

10.  ONGOING MONITORING; PREVENTION OF FRAUD, COLLUSION AND CRIMINAL ACTIVITY

BetDEX takes active measures, including monitoring of transactions as necessary to prevent, and to investigate suspected cases of all kinds of fraud, collusion, money laundering activities and/or other forms of criminal activity. BetDEX may perform random verification and security checks. You accept that BetDEX has the right to demand additional documentation in order to verify your identity and information in the event of any such random check. In addition, active measures are taken to prohibit the use of devices such as robots that may distort the normal game play.

BetDEX proactively monitors all Wallets and utilizes various identity and anti-money laundering checks to identify and prevent (i) sanctioned activity (as defined by the U.S. Treasury Government with its OFAC and any similar international lists), and (ii) other criminal and nefarious activities, including those that could be deemed violation of any applicable anti-money laundering laws and regulations.

If any Wallet is identified to be identified or associated with any such activity, it will be added to a sanctioned Wallet repository / blacklist “(Blacklist”). If your Wallet is on the Blacklist, it will not be allowed to be linked to your Account, and you, and your Account, and any use of the Site or Services, in BetDEX’s sole and absolute discretion, or as we are required by applicable laws or regulations, may be suspended, terminated and/or blocked. If you are found to have placed a bet with funds gained from criminal activity, we will ensure any open bets placed by you will not subsequently be matched with another BetDEX player. Further, we will immediately and automatically remove and permanently ban you, your Account and the Wallet from our Site and Services and will report to the proper authorities. 

In the event your Account is locked for any reason above, BetDEX will unlock your Account only if you provide BetDEX with proof that you were not actually involved in such suspected activity. You are required to provide such information within (six) 6 months from the time the Account was locked, or the Account will be permanently terminated.

Notwithstanding anything else contained this Agreement, including but not limited to Section 6 and this Section 10, BetDEX is under no obligation and will not disclose the specific reasons for any action taken under this section or in accordance with these Terms or this Agreement, except in its sole and absolute discretion, and in any case only as permissible or advisable under applicable Law

11. BETA SERVICES

From time to time, BetDEX may offer new Services (limited preview services or new features to existing Services) in a pre-release version. New Services, new features to existing Services or limited preview services will be known, individually and collectively, as “Beta Services”.

If you elect to use any Beta Services, then your use of the Beta Services is subject to the following terms and conditions: (i) You acknowledge and agree that the Beta Services are pre-release versions and may not work properly; (ii) You acknowledge and agree that your use of the Beta Services may expose you to unusual risks of operational failures; (iii) the Beta Services are provided as-is, so we do not recommend using them in production or mission critical environments; (iv) BetDEX reserves the right to modify, change, or discontinue any aspect of the Beta Services at any time; (v) Commercially released versions of the Beta Services may change substantially, and programs that use or run with the Beta Services may not work with the commercially released versions or subsequent releases; (vi) BetDEX may limit availability of customer service support time dedicated to support of the Beta Services; (vii) You acknowledge and agree to provide prompt feedback regarding your experience with the Beta Services in a form reasonably requested by us, including information necessary to enable us to duplicate errors or problems you experience; (viii) You acknowledge and agree that BetDEX may track your browsing behavior, links clicked, items purchased, your device type, and to collect various data, including analytics, about how you use and interact with our Beta Services; (ix) You acknowledge and agree that all information regarding your use of the Beta Services, including your experience with and opinions regarding the Beta Services, is confidential, and may not be disclosed to a third party or used for any purpose other than providing feedback to BetDEX; (x) the Beta Services are provided “as is”, “as available”, and “with all faults”.      

You acknowledge and agree that we may use your feedback for any purpose, including product development purposes. At our request you will provide us with comments that we may use publicly for press materials and marketing collateral. Any intellectual property inherent in your feedback or arising from your use of the Beta Services will be owned exclusively by BetDEX. To the fullest extent permitted by law, BetDEX disclaims any and all warranties, statutory, express or implied, with respect to the Beta Services including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

In the event Beta Services are available that trade in real money wagers, BetDEX will ensure that you receive any true winnings that result, notwithstanding the beta nature of such Services.

12.  RESPONSIBLE GAMBLING

We are committed to providing our players with a responsible gaming environment. We comply with all guidelines published to ensure that our Services are properly and transparently monitored to provide player protection. We have implemented the following company policies and tools. The tools are accessible in your Account. Preventing Compulsive Gambling. BetDEX is aware some people can become addicted to the potential monetary gains our Services offer. We take this matter very seriously and have thus put in place a number of measures to counter this issue, as explained below. Moreover, our employees are trained to recognize and take appropriate actions when they identify compulsive or underage gambling. 

‍Self-limits. You can control the amount of money you use to gamble on our Site. You can set your own bet limits and request to adjust them at any time. If you choose to increase or reduce your bet limits, it will take effect immediately on our receipt of such instruction from you. The bet limit which you set on this Site only applies to the Account with this Site and not to any other website owned or operated by BetDEX. Requests to increase self-limits will take place immediately; whereas a request to decrease self-limits will take place after 24 hrs, and may take up to 7 days to process.

Tracking your activity. You can access a history of your transactions, deposits and withdrawals in your Account. 

‍Self-Exclusion. Should you feel that you have developed or may be developing a gambling problem, please consider using Self-Exclusion which prevents you from using our Services for a specified period. During a period of Self-Exclusion you will not be able to use your Account, although you will still be able to login and withdraw any remaining balance. It will not be possible to reopen your Account for any reason, and BetDEX will take all measures to detect and close any new Accounts you may open. We will also remove you from our marketing databases. You may also wish to consider installing software that blocks access to gambling websites. We recommend that you seek support from a problem gambling to help you deal with your problem.  You may seek professional help from the following organizations:

 13.  COMPLAINTS AND DISPUTE RESOLUTION

Should you wish to register a complaint about the Site or Services, you may email support@betdex.com with your request and a member of the BetDEX team will respond to your complaint within 48 hours in an attempt to resolve the issue. If you are unsatisfied with BetDEX’s proposed resolution, the user may attempt to resolve the issue via the broader community (the “Community”).    

Rules are in place to govern any settlement disputes that may occur on the Site or Services. Settlement of the Smart Contracts would occur based upon what the price oracle finds as truth. If a material number of users disagreed with this outcome, they could propose remuneration to the Community’s Board.  The Community will elect a Board which will handle items such as decisions on dispute resolution and payouts. The Board would vote upon any remuneration proposal. If it passes, then the remuneration would be granted.  In the event that you feel aggrieved by a decision or action taken by the Board and you are not satisfied with Board’s response and/or findings pursuant to the complaint procedure described above, you have a right to refer the complaint to the BetDEX’s ADR process and procedure.

For those subject to the IOM License only, you also have the right to bring the unresolved dispute between your and BetDEX to the applicable gaming commission identified in our Country Specific Terms, including, specifically the Isle of Man Gambling Supervision Commission (the "GSC"). However, it is expected that all available BetDEX internal complaints procedures and processes are exhausted before any complaints are raised to the GSC.

14.  DORMANT ACCOUNTS

A dormant account is any Account that has been inactive (that is, where the account holder has not logged in to the Account) for a consecutive period of 365 days. As BetDEX does not hold any player funds, there are no abandoned funds to be addressed. If you have not logged in on your Account for 30 months, BetDEX will deactivate the Account permanently.

15.  PERSONAL DATA

BetDEX utilizes the personal data you provide to us in order to provide you with our Services according to our obligations under the Agreement, and to include in accordance with the terms of our Privacy Notice.

16.  UNACCEPTABLE USE

You will not:

• use the Site or Services to violate any applicable law or any person’s legal rights; 
• interfere with the functioning of the Site or Services in any way;
• use the Site or Services to transmit any virus, Trojan horse, worm, or other software, script or code the effect or intent of which is to permit unauthorized access to, or to alter, disable, encrypt, erase, or otherwise harm, any computer, systems, software or data;
• decrypt, decompile, disassemble or reverse engineer the Site or Services or any software or systems used to provide it;
• access or use any part of the Site or Services that is (expressly or implicitly) not intended for use by you;
• use any non-BetDEX automation code in relation to the Site or Services (including any “bot” or “spider”);
• collect or harvest any information from the Site or Services in a bulk or systematic way;
• create derivative or competitive works from the Site or Services;
• link to the Site or Services by way of framing technology or deep links, or otherwise incorporate any portion of the Site or Services into any product or service;
• copy, modify, adapt, reproduce, repurpose, republish, transmit, or distribute any part of the Site or Services;
• rent, lease, assign or transfer any part of the Site, or otherwise permit third parties to access and use the Site or Services; remove, alter, or obscure any proprietary notices on the Site or Services;
• probe, scan, or test the vulnerability of the Site or Services or any network connected to the Site or Services, or breach the security or authentication measures on the Site or Services or any network connected to the Site or Services;
• collect, harvest, reverse look-up, trace, or otherwise seek to obtain any information on any other user of or visitor to the Site or Services;
• take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Services or any systems or networks connected to the Site or Services; or
• forge headers, impersonate a person, or otherwise manipulate identifiers in order to disguise your identity or the origin of any message or Submission you send to BetDEX on or through the Site or Services.

 17.  USER CONTENT, FEEDBACK AND SUBMISSIONS

If you upload material, information, comments, postings or other content to the Site ("User Content"), then the User Content will be considered to be non-confidential and non-proprietary, and BetDEX will have the right to i) use, copy, distribute and disclose to third parties any User Content for any purpose, and ii) remove, amend or edit any User Content. BetDEX has the right to disclose your identity to any third party in the event of a claim that the User Content breaches the third party's rights.     

Any ideas, suggestions, or feedback that you provide to BetDEX relating to the Site or BetDEX’s business will be exclusively owned by BetDEX. You agree that: (a) all information you provide on or through a Site (each, a “Submission”) will be true, accurate and complete; (b) you will not impersonate any person or misrepresent any affiliation; (c) BetDEX is entitled to rely on each Submission; (d) you will only include the personal information of another individual in a Submission if you have the express permission of that individual or if you are otherwise entitled to do so at law; and (e) you have obtained at your own expense all necessary consents, rights and permissions required to grant to BetDEX the license to Submissions described below. By making a Submission, you thereby grant to BetDEX an irrevocable, unlimited, sublicensable, transferable, royalty-free, worldwide, perpetual license to use, copy, distribute, modify, make derivative works from, and disclose the information and any other content in the Submission, for any purpose whatsoever including commercial purposes, and you hereby waive all related moral rights or warrant that such rights have been waived by any third-party holder.

However, any personal information that is included in a Submission will only be used and disclosed in accordance with BetDEX’s Privacy Statement. BetDEX may in its discretion screen, edit, refuse to post, refuse to reply to, and remove any Submissions, in whole or in part, from the Site.

18.  GOVERNING LAW & JURISDICTION

These Terms will be governed by the laws of the United Kingdom, without reference to any conflict of law rules that might apply the laws of any other jurisdiction. 

Except as detailed in the Complaints section of these Terms, you and BetDEX each submit consent to the exclusive jurisdiction of the courts of the United Kingdom and all courts competent to hear appeals therefrom to settle any dispute or claim that arises out of or in connection with the Terms or their subject matter or formation (including non-contractual disputes or claims). 

Notwithstanding the foregoing, you acknowledge and agree that BetDEX is entitled to seek and be awarded (a) an injunction or other appropriate equitable relief from a court of competent jurisdiction anywhere in the world restraining any breach, threatened or actual, of your obligations under any provision of the Terms, and (b) an order from a court of competent jurisdiction anywhere in the world for the purpose of recognizing and enforcing any interim or final judgment, order, injunction, award or other relief granted or provided by the courts of other competent jurisdictions, and you hereby waive any defense you might then have to the granting of such an order. 

19.  INDEMNITY

You agree to protect, defend, indemnify and hold harmless BetDEX and its officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorneys’ fees) imposed upon or incurred by BetDEX directly or indirectly arising from (i) your use of and access to this Site or the Services found at this Site; (ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or (iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section will survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.

20.  DISCLAIMER OF REPRESENTATIONS AND WARRANTIES

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES FOUND AT THIS SITE SHALL BE AT YOUR OWN RISK AND THAT THIS SITE AND THE SERVICES FOUND AT THIS SITE ARE PROVIDED “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS”. BETDEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT (I) THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE, (II) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND/OR (III) THE SERVICES FOUND AT THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND BETDEX ASSUMES NO LIABILITY OR RESPONSIBILITY FOR THE SAME.

21.  LIMITATION OF LIABILITY

IN NO EVENT SHALL BETDEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ALL THIRD PARTY SERVICE PROVIDERS, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM (I) THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE, (II) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (III) THE SERVICES FOUND AT THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, (V) THIRD-PARTY CONDUCT OF ANY NATURE WHATSOEVER, (VI) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL CONTENT, PERSONAL INFORMATION, FINANCIAL INFORMATION OR OTHER INFORMATION AND DATA STORED THEREIN, (VII) ANY INTERRUPTION OR CESSATION OF SERVICES TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (VIII) ANY VIRUSES, WORMS, BUGS, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (IX) ANY USER CONTENT OR CONTENT THAT IS DEFAMATORY, HARASSING, ABUSIVE, HARMFUL TO MINORS OR ANY PROTECTED CLASS, PORNOGRAPHIC, “X-RATED”, OBSCENE OR OTHERWISE OBJECTIONABLE, AND/OR (X) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF THIS SITE OR THE SERVICES FOUND AT THIS SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT BETDEX IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE OR THE SERVICES FOUND AT THIS SITE.

22.  COMPLIANCE WITH LOCAL LAWS

BetDEX makes no representation or warranty that the content available on this Site or the Services found at this Site are appropriate in every country or jurisdiction, and access to this Site or the Services found at this Site from countries or jurisdictions where illegal is prohibited. Users who choose to access this Site or the Services found at this Site are responsible for compliance with all local laws, rules and regulations.

23.  U.S. EXPORT LAWS

This Site and the Services found at this Site are subject to the export laws, restrictions, regulations and administrative acts of the United States Department of Commerce, Department of Treasury Office of Foreign Assets Control (“OFAC”), State Department, and other United States authorities (collectively, “U.S. Export Laws”). Users must not use the Services found at this Site to collect, store or transmit any technical information or data that is controlled under U.S. Export Laws. Users must not export or re-export, or allow the export or re-export of, the Services found at this Site in violation of any U.S. Export Laws. 24.  INDEPENDENT COVENANTS; SEVERABILITY; SUCCESSORS; THIRD PARTY BENEFICIARIES

Each covenant and agreement in this Agreement will be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement will not be affected thereby and will be found to be valid and enforceable to the fullest extent permitted by law. This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns. Nothing in this Agreement will be deemed to confer any third-party rights or benefits.

25.  ENGLISH LANGUAGE CONTROLS

This Agreement is executed in the English language. To the extent any translation is provided to you, it is provided for convenience purposes only, and in the event of any conflict between the English and translated version, where permitted by law, the English version will control and prevail. Where the translated version is required to be provided to you and is to be considered binding by law (i) both language versions will have equal validity, (ii) each party acknowledges that it has reviewed both language versions and that they are substantially the same in all material respects, and (iii) in the event of any discrepancy between these two versions, the translated version may prevail, provided that the intent of the Parties has been fully taken into consideration.
